West Windsor Little League Constitution

 

Article I                       Name

This organization will be known as the West Windsor Little League, Inc.

Article II           Objective 

The objective of the West Windsor Little League shall be to implant firmly in the boys and girls of the community of West Windsor Township the ideals of good sportsmanship, honesty, loyalty, courage, and reverence, so that they may be finer, stronger, and happier boys and girls and will grow to be good, clean, healthy men and women.

 In accordance with Section 501-(c)-(3) of the Federal Internal Revenue Code, the Local League shall operate exclusively as a non-profit educational organization providing a supervised program of competitive baseball and softball games. The supervisors shall bear in mind that the attainment of the exceptional athletic skill or the winning of games is secondary, and the molding of future men and women of prime importance.

Article III         Government

 The government of the West Windsor Little League shall be under the supervision of a Board of Directors.  The Board of Directors shall consist of Directors which shall include a President, Vice President of Operations, Vice President of Baseball, Vice President of Softball, Secretary, Treasurer, Player Agent, League Information Officer, Safety Officer, Umpire Coordinator, Coordinators of each league (including Softball and Baseball; Majors, Minors, AAA, Rookie and Tee Ball), Coaching Coordinator, Coordinators of Standing Committees and up to five Directors at Large. Included in this group will be at least two managers from the major leagues.

  At an annual meeting of the membership, held preferably in October, the general membership shall elect to the Board of Directors seven officers as follows: a President, Vice President of Operations, Vice President of Baseball, Vice President of Softball, Secretary, Treasurer and Player Agent, who shall constitute the officers of the League.  Neither the President nor Player Agent shall manage or coach in the League or serve as League Coordinator.

 The Board term of all elected Directors shall be nominally for one year and shall terminate upon election of their successors in office.  The Board term of all appointed Directors shall be nominally for one year and shall terminate upon appointment of their successor in office.

 The President, with the approval of the other elected officers, shall then complete the Board by appointing as Directors; League Information Officer, Safety Officer, Umpire Coordinator, Coordinators of each league (including Softball and Baseball; Majors, Minors, AAA, Rookie and Tee Ball), Coaching Coordinator, Coordinators of Standing Committees and up to five Directors at Large. Included in this group will be at least two managers from the major leagues.

 The total of the Managers and Minor League Coordinators on the Board shall never exceed a minority of the Board of Directors.

 All matters concerning the policy of the West Windsor Little League shall be decided by a vote of the Board of Directors, and no motion shall be carried without a favorable vote from the majority of those present at a duly constituted meeting.

A quorum of the Board of Directors shall comprise six members of the Board, exclusive of Honorary Life Members, and shall include at least four of the seven elected officers.

 Honorary Life Membership to the Board of Directors may be conferred upon or withdrawn from a member by a two-third majority vote of the Board of Directors present at a duly constituted meeting.  No more than three Honorary Life Members of the Board of Directors may be on the Board at any one time.  Such members shall have full voting privileges in the conduct of all business before the full Board but shall not be counted in determination of a voting quorum of the Board.

The Board of Directors shall be empowered to appoint special committees for specific duty as needed.  Members of these committees will not, by virtue of this appointment, become members of the Board of Directors.

Notice of all meetings will be given at least three days in advance thereof to all members of the Board of Directors.  Roberts Rules of Order shall govern proceedings of all meetings except where same conflicts with the Constitution or By-Laws of the League.

  

Article IV         Managers

The President appoints Coordinators of each league who will interview candidates for managing and coaching positions. The Coordinators, along with the Player Agent and appropriate Vice President, will make recommendations to the President who appoints all managers and coaches subject to the approval of the Board of Directors. Managers of competitive teams shall be annually appointed by the President and approved by the Board of Directors and shall be responsible for the selection of their teams and for their actions on the field.

 Each manager shall select at least two assistants to help him/her in their duties.

  

Article V          Membership

Any child meeting the requirements as to age and residence as set forth in the rules of Little League Baseball, Inc. shall be eligible to compete for participation in the Little League.

Any adult expressing an interest in the W.W.L.L. and attending the open meeting for election on the Board shall be considered a member of the W.W.L.L. and entitled to vote in the election.  There shall be no membership dues or fees required for such membership.

Members shall not be required to be affiliated with another organization or group to qualify as members of the local league.

Members shall not be actively engaged in the promotion and/or operation of any other baseball/softball program that is in conflict with the local league.

 

Article VI         Financial Policy

The Board of Directors shall decided all matters pertaining to the finances of the League and it shall place all income in a common treasury, directing the expenditure of same in such manner as will give no individual or team an advantage over the other as to equipment, etc.

The Board of Directors shall not permit the contribution of funds to individuals or teams and shall solicit same for the common treasury of the League.

Article VII        Playing Rules

The Official Playing Rules for Local League as published by the Little League, Inc., Williamsport, Pennsylvania, shall be binding on the League.  Local rules shall be adopted by the Board of Directors.  These rules shall in no way conflict with the rules of Little League Baseball, Inc. 

All rules of play shall be enforced by the Player Agent of the League.

 

Article VIII        Amendments

This Constitution or any section thereof may be amended by or repealed by a two-thirds vote of the Board of Directors at any duly constituted meeting; providing that written notice of such proposed changes over the signature of the Secretary, shall be mailed to director at least 15 days prior to the meeting at which the proposed change shall be submitted to vote.  

 

AMENDMENT

 TO THE

  CONSTITUTION OF THE

WEST WINDSOR LITTLE LEAGUE, INC.

 

 October 23,1993

 

             WHEREAS, the West Windsor Little League, Inc. (the “League”) adopted a Constitution; and

 
            WHEREAS, Article VIII of the Constitution provides that the Board of Directors of the League (the “Board”) may amend the Constitution by a two-thirds vote; and

            WHEREAS, the Board desires to amend the Constitution to restructure the Board to reflect the current operation of the League;

 
            NOW, THEREFORE, the second sentence of the first paragraph of Article III of the Constitution is amended, effective as of October 23, 1993, to read as follows:


 
“The Board of Directors shall consist of: the President; Vice President; Secretary; Treasurer; Player Agent; Registrar; Coordinators of each league; Chairpersons of each standing committee, including Concession Stand, Equipment, Fundraising, Maintenance, Rules and Umpires and Sponsorship; and not more than five (5) Directors at Large.”

 


AMENDMENT

 

TO THE

 

CONSTITUTION OF THE

 

WEST WINDSOR LITTLE LEAGUE, INC.

 

 

 

February 8, 1995

            WHEREAS, the West Windsor Little League, Inc. (the “League”) adopted a Constitution; and

            WHEREAS, Article VIII of the Constitution provides that the Board of Directors of the League (the “Board”) may amend the Constitution by a two-thirds vote; and

             WHEREAS, the Board desires to amend the Constitution to restructure the Board to reflect the current operation of the League;

             NOW, THEREFORE, the second sentence of the first paragraph of Article III of the Constitution is amended, effective as of February 8, 1995, to read as follows:

“The Board of Directors shall consist of: the President; Vice President; Secretary; Treasurer; Player Agent; Registrar; Coordinators of each league; Chairpersons of each standing committee, including Awards Day and Annual Meeting, Buildings and Grounds, Clinics, Concession Stand, Equipment, Fundraising, Publicity, Rules and Umpires, Sponsorship, Tournaments and Twenty-First Century; and not more than five (5) Directors at Large.”

 


PROPOSED AMENDMENT

 TO THE

 CONSTITUTION OF THE

 WEST WINDSOR LITTLE LEAGUE

 May 24, 2001

 

WHEREAS, the West Windsor Little League, Inc. (the “League”) adopted a Constitution; and

WHEREAS, Article VIII of the Constitution provides that the Board of Directors of the League (the “Board”) may amend the Constitution by a two-thirds vote; and

WHEREAS, the Board desires to amend the Constitution to restructure the Board to reflect the current operation of the League;

NOW, THEREFORE, the second sentence of the first paragraph of Article III of the Constitution is amended, effective as of May 24,2001 to read as follow



Article V            Membership

The newly formed Disciplinary Committee, consisting of the President, Vice President and Player Agent, will hear any grievances filed by members of the league against one another.  The Committee shall have the authority to discipline, suspend or expel any member or player whose conduct is considered as detrimental to the best interests of the League.

            WHEREAS, the West Windsor Little League, Inc. (the “League”) adopted a Constitution; and

            WHEREAS, Article VIII of the Constitution provides that the Board of Directors of the League (the “Board”) may amend the Constitution by a two-thirds vote; and

            WHEREAS, the Board desires to amend the Constitution to restructure the Board to reflect the current operation of the League;

            NOW, THEREFORE, the second sentence of the first paragraph of Article III of the Constitution is amended, effective as of October 9, 2001 to read as follows

 

Article III            Government

The government of the West Windsor Little League shall be under the supervision of a Board of Directors. The Board of Directors shall consist of: the President, Vice President, Vice President for Softball, Vice President for Baseball, Secretary, Treasurer, Player Agent, Registrar, Coordinators of each league, and the chairperson of each standing committee.  The standing committee shall be voted on at the organizational meeting of the West Windsor Little League (preferably in November), which shall be held at the next meeting after the annual meeting.  Once the standing committees are approved, the President, with the approval of the other elected officers, shall then complete the Board of Directors by appointing as a Director the chairperson of each standing committee.

At the annual meeting of the membership, held preferably in October, the general membership shall elect to the Board of Directors seven officers as follows: a President, Vice President, Vice President for Softball, Vice President for Baseball, Secretary, Treasurer, and Player Agent, who shall constitute the officers of the League. The President and Player Agent shall not serve as a manager or coach of any team.

A quorum of the Board of Directors shall comprise eight members of the Board, exclusive of Honorary Life Members, and shall include at least four of the seven elected officers.

The Disciplinary Committee, will consist of the President, Player Agent and the appropriate Vice President (Softball, Baseball, Operations based on the specific situation to be reviewed), shall have the authority to discipline, suspend or expel any member or player whose conduct is considered as detrimental to the best interests of the League.
